These Terms & Conditions (“Terms”) govern your access to and use of www.thewhiteblackgiftco.com (the “Site”), including purchases, customer accounts, community features, reviews, promotions, and other services offered through the Site (collectively, the “Services”).

The Site is operated by The White Black Gift Co. LLC (“The White Black Gift Co.,” “Company,” “we,” “us,” or “our”). By accessing the Site, creating an account, submitting content, or placing an order, you agree to these Terms and the policies incorporated into them by reference. If you do not agree, please do not use the Site or Services.

You are responsible for activity conducted through your account to the extent permitted by law.

We may suspend or close accounts that contain false information, misuse Site features, violate these Terms, or create security or fraud concerns.

1. PRODUCTS AND PRODUCT INFORMATION

We make reasonable efforts to present product descriptions, photographs, colors, dimensions, ingredients, packaging, features, and availability accurately.

However, colors may appear differently depending on your device. Packaging, labels, shades, designs, or other non-material details may differ slightly from the images displayed.

Product information is provided for general informational purposes. Beauty, skincare, hair care, wellness, fragrance, and similar products are not intended to diagnose, treat, cure, or prevent any disease.

Individual results may vary. Always review the product label, ingredients, warnings, and instructions before use. Stop using a product and seek appropriate professional advice if irritation or another adverse reaction occurs.

Inventory changes frequently. Products may be limited, discontinued, or unavailable without notice.

Labels such as “Limited,” “Selling Fast,” “Best Seller,” “Almost Sold Out,” or similar language describe availability or promotional positioning at the time displayed and do not guarantee future availability.

1. PRICES, PROMOTIONS, AND AVAILABILITY

Prices are displayed in U.S. dollars unless otherwise stated. Prices, discounts, product availability, shipping offers, and promotions may change without notice before an order is accepted.

Promotions may be subject to:

• Expiration dates.

• Minimum-purchase requirements.

• Product exclusions.

• Geographic restrictions.

• Inventory limitations.

• One-use or one-per-customer limits.

Unless expressly stated otherwise, discounts and promotional codes cannot be combined.

Free shipping on qualifying U.S. orders over $50 applies when the order satisfies the offer terms displayed at checkout. Taxes, discounts, excluded products, or other charges may affect whether an order reaches the qualifying threshold.

We reserve the right to correct typographical errors, inaccurate descriptions, incorrect prices, or technical errors.

If an error affects an order already placed, we may contact you for instructions or cancel the affected product or order and issue any refund required by law.

Any comparison to a third-party retailer applies only to the selected product and information available when the comparison was made. Third-party prices may change.

Third-party names and trademarks belong to their respective owners. Their appearance on our Site does not imply sponsorship, endorsement, partnership, or affiliation.

1. ORDERS AND ACCEPTANCE

Submitting an order represents an offer to purchase. An order confirmation acknowledges that we received your order but does not guarantee final acceptance.

All orders are subject to:

• Payment authorization.

• Fraud review.

• Product availability.

• Shipping restrictions.

• Verification of order information.

• Acceptance by The White Black Gift Co.

We may refuse, limit, or cancel an order for legitimate reasons, including suspected fraud, unauthorized resale, inventory errors, payment problems, incorrect pricing, shipping limitations, or misuse of a promotion.

If we cancel an order after payment has been collected, we will issue the appropriate refund to the original payment method.

You are responsible for reviewing your cart, product quantities, email address, billing information, and complete shipping address—including any apartment or unit number—before submitting your order.

1. PAYMENTS AND TAXES

Available payment methods are displayed at checkout and may change.

Payments are processed through third-party payment providers. By submitting payment information, you confirm that you are authorized to use the selected payment method.

You authorize us and our payment providers to charge the total amount shown at checkout, including applicable taxes and shipping charges.

You are responsible for applicable sales, use, or similar taxes unless the law requires us to collect them.

We do not directly store complete payment-card information when that information is handled by our third-party payment processors.

1. SHIPPING AND DELIVERY

Orders are typically processed within 24 hours after purchase.

Processing may take longer because of weekends, holidays, order volume, payment verification, inventory issues, or circumstances outside our reasonable control.

Orders shipped within the United States are typically delivered within 3 to 5 business days after processing.

Delivery dates are estimates and are not guaranteed. Carrier disruptions, severe weather, holidays, destination, incorrect addresses, and other unexpected circumstances may cause delays.

Tracking information may be sent by email or made available through your customer account when available. Carrier tracking may take time to update after a package has been accepted.

Title and risk of loss transfer as provided by applicable law. Nothing in these Terms limits any rights you may have when merchandise is not delivered.

Please contact us promptly regarding a missing, delayed, or misdelivered package so we can review the tracking information and available options.

Additional shipping, cancellation, return, and refund details are governed by our Shipping, Cancellation & Return Policy, which is incorporated into these Terms.

1. ORDER CANCELLATIONS

If you need to cancel an order, please contact us as soon as possible.

Cancellation requests are not guaranteed and can generally be accommodated only when an order has not been processed or shipped.

Once processing or shipment has started, the order may no longer qualify for cancellation and may instead be subject to our return policy.

1. RETURNS, DAMAGED ITEMS, AND REFUNDS

Returns are accepted within 15 days of delivery when:

• The product is unused.

• The product remains sealed.

• The product is in its original packaging.

• The product is in the same condition in which it was received.

• Proof of purchase is provided when requested.

Products that have been opened, used, altered, damaged after delivery, or removed from their original sealed packaging may not qualify for return, subject to applicable law.

Additional exclusions may apply to certain personal-care, cosmetic, hygiene, clearance, final-sale, or safety-sensitive products when clearly disclosed before purchase.

Customers may be responsible for return shipping expenses unless the product received was incorrect, damaged upon arrival, or eligible for return because of an error on our part.

Original shipping charges may be non-refundable unless required by law or otherwise approved by The White Black Gift Co.

Incorrect or damaged products should be reported as soon as possible after delivery. We may request photographs, packaging details, or other information reasonably necessary to evaluate the claim.

Approved refunds will be issued to the original payment method. The time required for the refund to appear depends on the customer’s bank, card issuer, or payment provider.

Our complete Shipping, Cancellation & Return Policy controls the return process. These Terms do not reduce any non-waivable consumer rights provided by law.

1. COMMUNITY, MEMBERS, REVIEWS, AND USER CONTENT

The Site may allow members or visitors to:

• Create profiles.

• Join groups or community areas.

• Promote lawful businesses, services, or products.

• Submit reviews.

• Post comments.

• Upload images.

• Share other content.

Content provided by customers, members, or visitors is referred to as “User Content.”

You retain ownership of your User Content.

By submitting User Content, you grant The White Black Gift Co. a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, format, and distribute that content as reasonably necessary to operate, promote, and improve the Site and Services.

This license ends when the content is deleted, except when retention is required for legal, security, backup, or recordkeeping purposes or when the content has already been lawfully shared outside the Site.

You confirm that you own or have permission to submit your User Content and that the content is truthful and does not violate any law or third-party right.

User Content may not contain:

• Unlawful or fraudulent information.

• False or misleading claims.

• Defamatory or harassing statements.

• Discriminatory or obscene material.

• Copyrighted or trademarked content used without permission.

• Malicious links, harmful software, or spam.

Business promotions posted by members are provided by those members.

Unless expressly stated, The White Black Gift Co. does not endorse, verify, employ, partner with, or guarantee any member, business, product, or service promoted within the community.

Transactions arranged independently between members are solely between those parties.

We may moderate, refuse, remove, or restrict User Content that violates these Terms or creates legal, security, fraud, or community-safety concerns.

We are not required to publish every submission.

Reviews must reflect genuine experiences. We do not require positive reviews as a condition of receiving customer support or resolving a legitimate issue.

1. EMAILS, TEXT MESSAGES, AND MARKETING

When you place an order or create an account, we may send transactional communications such as:

• Order confirmations.

• Payment notifications.

• Shipping and tracking updates.

• Security notices.

• Return or refund updates.

• Customer-service messages.

If you separately choose to receive marketing emails or text messages, you may unsubscribe using the link or instructions provided in the message.

Consent to receive marketing communications is not a condition of purchase. Message and data rates may apply to text messages.

Unsubscribing from marketing communications does not prevent us from sending necessary transactional, account-related, or legally required messages.

WE DISCLAIM IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT THAT SUCH WARRANTIES CANNOT LEGALLY BE DISCLAIMED.

WE DO NOT GUARANTEE THAT THE SITE WILL ALWAYS BE AVAILABLE, SECURE, OR ERROR-FREE. WE DO NOT GUARANTEE THAT PRODUCT RESULTS WILL BE IDENTICAL FOR EVERY CUSTOMER.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

1. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WHITE BLACK GIFT CO. AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE SITE, SERVICES, PRODUCTS, OR THESE TERMS.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR A CLAIM RELATED TO A PURCHASE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING NON-WAIVABLE CONSUMER-PROTECTION RIGHTS.

1. INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless The White Black Gift Co. and its owners, employees, contractors, and service providers from third-party claims, liabilities, losses, and reasonable expenses arising from:

• Your unlawful misuse of the Site.

• Your violation of these Terms.

• User Content that infringes another person’s rights.

This obligation does not apply to the extent that a claim results from our own wrongful conduct.

1. EVENTS BEYOND OUR CONTROL

We are not responsible for delays or failures caused by events beyond our reasonable control, including:

• Carrier interruptions.

• Labor disputes.

• Internet or utility outages.

• Government actions.

• Epidemics or public emergencies.

• Supply-chain disruptions.

• Failures of third-party systems.

This section does not excuse obligations that cannot be waived by law, including any refund legally required for merchandise that was not provided.

1. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, except where the mandatory law of your place of residence applies.

Any legal action arising from these Terms or the Services must be brought in a state or federal court with jurisdiction in Davidson County, Tennessee, unless applicable law gives you the right to bring the matter in another location.

Before filing a claim, we encourage you to contact us so we can attempt to resolve the concern informally.

1. CHANGES TO THESE TERMS

We may update these Terms from time to time.

The revised version will be published on this page with a new “Last Updated” date.

Changes apply prospectively when published unless a later effective date is stated.

Material changes will not retroactively alter an order already accepted unless required by law or agreed to by the customer.

1. SEVERABILITY AND WAIVER

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary or removed, and the remaining provisions will remain in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

1. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Shipping, Cancellation & Return Policy, Payment Policy, Order Cancellation Policy, and any promotion-specific terms displayed on the Site, form the entire agreement between you and The White Black Gift Co. regarding the Site and Services.

If a specific policy conflicts with these general Terms, the more specific policy will control for that particular subject.
